The data collected from the 50 test locations are establishing the efficacy of the tests, reimbursements across various payers and the increase in the value of the practice by incorporating an ancillary like Pain Baseline Testing. All are metrics that Private Equity wants to see.
The number of tests conducted per location is tracked by the software. Participating practices are asked to maintain as accurate records as possible in terms of reimbursements. Reimbursement averages per state will also be used.

Your practice will be valued by Healthcare Practice Sale (HPS) who will create a practice profile that is of Wall Street quality. All costs involved with HPS will be covered by the testing company. HPS will determine how much the value of your practice increased as a result of the addition of Pain Baseline testing. It is estimated that the addition of Pain Baseline testing will increase the value of any practice by several million dollars as the revenue generated is almost pure EBITDA.
If you decide to place your practice anonymously on the HPS Platform, you will receive offers for your practice but you do not have to accept them. YOU DO NOT HAVE TO SELL and you do not have to be placed on the platform for sale if you do not desire. Your practice, however, will be positioned to sell for a very high multiple if you do decide to sell.
HPS bridges the gap between what we call “Main Street” (where we all are) and “Wall Street”. On Main Street you will find buyers such as other Doctors, MSOs, DSOs and hospitals. Main Street buyers obtain their funding primarily from banks.
On Wall Street funding comes from Private Equity, Family Offices and other sources. Higher multiples are achieved on Wall Street through group sales or rollups. The multiples paid for practices on Wall Street are exponentially higher than on Main Street and HPS helps you to get there.
All 50 test locations share in proceeds from the sale of the practice. 10% of the sales price of the Baseline Testing technology and equipment will be split among the 50 test locations. The M&A value of the Pain Baseline software and equipment is estimated at 240 million dollars. 10% of 240 million or 24 million will be split among the 50 locations which would result in payment of $480,000 per location. It is anticipated that the final sales price will be higher.
In addition, for those practices interested in selling, the addition of Pain Baseline will significantly increase the value of your practice. You will have a “Wall Street” contact that will help you get the highest price possible for your practice (on Wall Street not Main Street). It often times matters “who you know” and it is always good to have a Wall Street contact.
At 6 months after acquisition, every practice will have the ability to withdraw from the program. If they do, their equipment will be assumed and removed from the location. If they choose to withdraw, the Doctor keeps all the revenue from the testing but withdraws from all other aspects of the program.
Medical necessity for testing can be established for a high percentage of patients. Private pay is higher but the average reimbursements per 30 minute testing series average between $500 and $700 per test. You retain all reimbursements and reimbursement figures for your area will be confirmed prior to beginning.
No but offices are encouraged to test patients who can benefit from testing and for which medical necessity can be established.
